VIE Transaction Debt Advisory, Société Générale Corporate and Investment Banking
After I graduated in 2008 from a French Business School, I started to work for Société Générale CIB. I, first, worked for 8 month in Syndicated Loan Trading. I was entirely in charge of settling the transactions, from dealing with clients to the close of the deal. I developed a broad overview on the business as I handled deals from all business lines. Following this experience, I did a 6-month internship in Leverage/Acquisition finance to focus more closely on this type of financial structure.
Today, I am a 2-year Senior Analyst in Transaction Debt Advisory in the Debt Capital Market department of Société Générale CIB. I worked for a year in New York City and I am now in Brussels. The Department is in charge of providing clients with tax leverage structures using Special Purpose Vehicles. During those 2 years, I have been in charge of closing complex tax structures involving different SPV and issues such as Tax, Legal or Accounting.
I, therefore, developed my ability to work independently and within a team through my education and my previous experiences. But the most important skill I acquired is to coordinate different teams with different goals. I also have had the opportunity of managing the Société Générale NY TDA middle office for more than 2 months. I used the managing skills I got from my education to develop and increase the efficiency of the Department during this period.
2009 - 2011At equal distance from the Structured Finance Team and the Market Finance Team, my job is to provide clients and SG with solutions to realize tax economies.
The solutions can be:
- to add a tax leverage on an investment,
- to provide the CFOs of Financial Institutions to manage tax positions when they don't have TDA Teams,
- to provide solutions to reduce cost of funds through optimization of intra-group financing among SG.
I have performed different tasks in this position:
- Coordination and execution of the closing of TDA new deals (understanding the deal, verifying the feasibility, the accounting treatment, coordinating with the different departments involved, identifying the covenants to follow-up),
- Coordination of the cash-flows,
- Identification of the operational risks in the new deals,
- Identification of the tax risks
In charge of the trading of Syndicated Loans on the Secondary Market:
• Follow up of transfer procedures on loan trading such as back-to-back, purchases and sales, Fund or/and Risk sub-participations Agreements
• Key function between the different participants: Front and Back offices, risk departments, syndication, lawyers, borrowers and banks
• Development of the Loan Trading Arbitrage activity
• Involved in Middle Office reorganization (drawing Workflows, writing Procedures)
The BIEN/FIN department is offering structured finance to Mid Cap clients. The team I worked in was specialized in Leveraged and Acquisition Finance.
I performed different tasks such as:
- Writing and analyzing legal documentation,
- Working on new deals by coordinating with the Front-Office, Middle-Office and Back-Office, the legal department and the clients,
- Modeling financial offers for new clients,
- Following-up the covenants attached to each contract
